1. Acceptance of Terms

By accessing or using the website 'negativestarinnovators.com' and service ("Service"), provided by Negative Star Innovators ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms") and all applicable laws and regulations. You also agree that you are responsible for complying with any local laws that apply to you. If you do not agree with (or violate) any of these Terms, you are not allowed to use or access this Service.

2. Description of Service

Negative Star Innovators provides a web-based Software as a Service (SaaS) called 'Thieves' that provides website monitoring and tracking services. We use Large Language Model (LLM) agents (provided by Meta Llama 3, OpenAI and Gemini) to obtain results. The Service is provided "as-is" and "as-available."

Users can create "thieves." For each thieves, you provide the URL of the website you want to monitor and a specific condition you want to track. When the condition is met, you will receive an email, Discord or Telegram alert subject to limitations outlined below. We also can send alerts to your custom webhooks and provide an RESTful API interface to our services

Each thieves has a check frequency, which determines how often we check the provided URL against your condition.

You can also choose to send email alerts to other email addresses, provided the owners of those email accounts accept the invitation.

3. Limitations of Service

While we strive to provide a reliable and accurate service, it's important to understand the following limitations:

Best-Effort Service: Our service is provided on a "best-effort" basis. We do not guarantee uninterrupted or error-free operation. Additionally, each thieves has a specified check frequency; while we make every effort to adhere to these schedules, exact timing cannot be guaranteed.
LLM Accuracy: We use Large Language Models (LLMs) for detecting if your condition has been met. LLMs are powerful but can produce inaccurate or unexpected results due to the complexities of language and the dynamic nature of websites. The information provided by the Service does not constitute medical, legal, financial, or other professional advice. It is for informational purposes only and should not be relied upon as a substitute for advice from a qualified professional.
Use of Llama 3: Part of our Service utilizes Llama 3, a large language model developed by Meta. By using our Service, you also agree to comply with the Llama 3 Terms and License, available at https://www.llama.com/llama3/license/.
Website Compatibility: Some websites may have anti-bot measures or require logins, which can prevent our service from functioning correctly. We cannot guarantee compatibility with all websites. You also acknowledge that websites you track may malfunction or provide inaccurate results, and that anti-bot measures may interfere with the Service.
Geo-Restrictions: Our servers are located in the United States. Websites that restrict access based on location may not be accessible or may display different content than expected. You understand that website access requests originate from the United States and may be affected by geo-restrictions.
Text-Based Detection: Our service primarily analyzes the rendered text of websites. It cannot detect or interpret non-textual elements like images, videos, or graphical content.
Custom Requests: Additional custom requests may have their own additional terms and agreements. Tracking websites that require logins may be possible as a custom request, potentially subject to additional fees or terms. Contact us for more information.
Third-Party Terms: You are responsible for complying with the terms and conditions of any website you choose to track.
Right to Block: We reserve the right to block the tracking of certain websites to comply with legal obligations, ethical guidelines, or for any other reason we deem necessary.

We are continuously working to improve Thieves and address these limitations. We strongly encourage users to report any errors or unexpected results to [email protected]. We will do everything in our capacity to make you have the best user experence for your needs

4. User Responsibilities

By using the Service, you agree to:

Provide accurate and complete information when creating an account.
Keep your account credentials confidential.
Be responsible for all activities that occur under your account.
Comply with all laws in your jurisdiction, including copyright and trademark laws.
Ensure that your use of the Service complies with the terms of any website you track.
Not use the Service for any illegal or unauthorized purpose, including tracking websites that you are not authorized to access.
Use the Service responsibly and ethically.
Keep your account information up to date.
Cooperate with us in any investigation of potential misuse of the Service.
Multiple free accounts under the same unique individual is not allowed. We reserve the right for identify verification or termination of accounts violating this term.
Engage in any activity that attempts to game, exploit or otherwise interfere with the intended operation of the service.
Engage in any other conduct that we, in our sole discretion, deem to be inappropriate or harmful to the Service, our users, or our business.

5. Age Restriction

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

6. Disclaimers and Limitations of Liability

Disclaimer of Warranties: Except as expressly stated in these Terms, and to the extent permitted by law, we provide the Service without any warranties, express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We provide no warranty unless required by law in the country where you reside.

Limitation of Liability: Unless required by law in your jurisdiction, Negative Star Innovators and its suppliers will not be liable for any damages (including, but not limited to, damages for loss of data or profit, or due to business interruption) arising from the use or inability to use the Service. We are not liable for damages resulting from your use of our product; you are responsible for independently verifying the results.

7. Payment, Refunds, and Cancellation

You agree to pay all fees for the Service as described on our Pricing page. Failure to do so may result in your account suspension or termination.
We offer a 30-day money-back guarantee for new users (customers who have never had a paid subscription with us). If you're not satisfied within the first 30 days of your *first* paid subscription, you can request a full refund by contacting us via [email protected].
You can cancel your subscription in your account's billing page. Your plan will be canceled at the end of the current billing cycle.
Subscription Billing: Your subscription is billed monthly, in advance. You'll be charged on the same day each month (or the last day of the month if your subscription started on a day that doesn't exist in shorter months). For example, if you subscribe on January 3rd, your first payment will cover January 3rd to February 3rd. On February 3rd, you'll be charged for February 3rd to March 3rd, and so on.
Upgrading or Downgrading: You can upgrade or downgrade your plan.
- Upgrading: If you upgrade, you'll be immediately charged the difference between your old and new plan for the remainder of your current billing cycle. Any credit from unused days on your previous plan will be applied to this charge. Upon successful charge, you will gain access to the upgraded plan.
- Downgrading: When you downgrade, your new, downgraded plan will take effect at the beginning of your next billing cycle. You will continue to have access to the features of your current plan until the end of your current billing cycle. You will not receive a refund or credit for the difference in price for the remainder of the current billing cycle.

8. Account Suspension and Termination

We reserve the right to suspend or terminate your account, at any time and for any reason, with or without notice, at our sole discretion. This includes, but is not limited to, violations of these Terms, suspected fraudulent activity, or any other conduct that we deem harmful to the Service, our users, or our business. If we terminate your account for a reason other than your breach of these Terms, we will provide a prorated refund for any unused prepaid fees. If we terminate your account due to your breach of these Terms, you will not be entitled to any refund.

9. Trade Controls and Supported Countries

You acknowledge that certain services provided hereunder utilize technology or software that may be subject to trade laws, including sanctions and export control laws of the United States ("U.S.") and other countries. You agree to comply with all such applicable laws. Specifically:

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive U.S. sanctions as published by the U.S. Department of the Treasury, including those listed on the Office of Foreign Assets Control (OFAC) website (https://ofac.treasury.gov/). You further represent and warrant that you are not an individual or entity with whom dealings are prohibited or restricted under applicable trade laws of the U.S. or other applicable jurisdictions, including, but not limited to, parties listed on the U.S. Specially Designated Nationals and Blocked Persons List (SDN List) or other applicable restricted party lists.
The services may not be used for any end-use prohibited by applicable trade laws, including those of the U.S. and other countries. Additionally, any information you provide (Input, as defined in other parts of these Terms and Conditions) may not include material or information that requires a government license for release or export under the laws of the U.S. or any other applicable jurisdiction.
Certain services may be provided, in whole or in part, from the U.S. or utilize U.S.-origin technology, including but not limited to Large Language Models (LLMs). As such, these services remain subject to applicable U.S. trade control laws in addition to the laws of any other applicable jurisdiction.
Our agreements with our service providers prevent us from providing services to certain countries, organizations, and individuals.
When you register for our service, we check your country, entity, and identity. If our automated screening flags you, we reserve the right to prevent you from registering for our service or using it. We may also ask for more information to verify your eligibility to use and access our service.

We make no representation that the services are appropriate or available for use in all locations. Accessing the services from locations where their content or use is illegal is prohibited. You are responsible for compliance with all applicable local laws. You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of this Trade Controls and Supported Countries provision.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any significant changes by posting the updated Terms on our website or through other reasonable means. By continuing to use the Service after such modifications, you agree to the revised Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of New Zealand. You agree to submit to the exclusive jurisdiction of the courts located in New Zealand for the resolution of any disputes arising out of or relating to these Terms or the Service, except where such exclusive jurisdiction is not enforceable due to mandatory laws, treaties, or international conventions, in which case the mandatory laws, treaties or international conventions shall apply.
